Terms of Service

These Terms of Service ("Terms") govern your access to and use of the consulting, engineering, and architectural services provided by Codes Minds. By booking a Strategy Audit or engaging in a monthly retainer, you agree to these operational standards.

1. Enterprise Service Execution

Codes Minds operates as a High-Ticket B2B Operations & Automation Consultancy. We are not a traditional freelance marketplace. We provide dedicated engineering bandwidth for building Next.js frontends, Python data pipelines, and integrating enterprise AI (such as Google Vertex AI).

All deliverables, timelines, and technical architectures will be defined during the Blueprint (Paid Discovery) phase prior to the commencement of any development retainers.

2. Financial Terms & Retainers

• No Hourly Billing: To align our incentives with your business ROI, we operate exclusively on fixed-fee blueprints and flat-rate monthly Fractional CTO retainers.
• Third-Party Costs: The client is solely responsible for all underlying infrastructure costs associated with their deployed software (e.g., AWS hosting, OpenAI API credits, Vercel deployments). Codes Minds does not mark up or resell server space.
• Payments: Retainer invoices are due prior to the commencement of each monthly billing cycle.

3. Intellectual Property (IP) & Code Ownership

Upon full payment of the agreed-upon retainer or project fee, the client retains 100% ownership of the custom codebase, database schemas, and front-end architectures developed specifically for their business. Codes Minds retains the right to reuse generalized, open-source, or foundational automation logic across multiple projects, provided no client-specific confidential data is exposed.

4. Confidentiality & NDA

We routinely handle sensitive logistics, medical, and wholesale operational data. Codes Minds operates under strict, default Non-Disclosure protocols. We will not share your operational bottlenecks, proprietary workflows, or internal data with any third party outside of the necessary cloud providers required to execute the work.

5. Limitation of Liability

While we engineer systems aimed at 100% data accuracy and 24/7 uptime, software is subject to external API changes, cloud provider outages, and internet disruptions. Codes Minds provides ongoing maintenance strictly under active retainer agreements. We shall not be held liable for indirect revenue loss, data corruption, or operational delays caused by external factors beyond our architectural control.

6. Jurisdiction & Global Operations

Codes Minds actively engineers solutions in Karachi and deploys them to corporate environments across London, Dubai, and beyond. Any legal disputes arising from these Terms will be handled in accordance with the jurisdiction specified in the client's localized Master Service Agreement (MSA).
